NatWest subsidiary named in Oracle AI-related bond litigation

NatWest Markets Securities Inc. (NWMSI) has been named as a defendant underwriter in class action lawsuits. The complaints allege that Oracle's bond offering documents failed to disclose plans to increase debt for AI infrastructure expansion and masked risks related to OpenAI missing internal growth targets, which could impact Oracle's AI investment returns.

The consolidated amended complaint alleges that the offering documents for the September 2025 bonds were materially misleading because they failed to disclose that, at the time of the bond offering, Oracle was already planning to further increase its debt to fund its Artificial Intelligence (AI) infrastructure expansion.
